These Terms of Service govern your use of Proximity Hero’s software, mobile tools, and web-based services (“Services”). By using Proximity Hero, you agree to be bound by these terms. If you do not agree, please do not use the Services.

1. Acceptance of Terms

By accessing or using the Proximity Hero platform—including our mobile tools, web dashboard, or integrated features—you agree to these Terms of Service and our Privacy Policy.

2. Service Description

Proximity Hero is a proximity-based loyalty and marketing platform that allows businesses to issue digital loyalty passes (ProxiPasses), scan and reward customers, and send targeted push notifications based on customer location.

3. User Accounts

To access most features, you must create an account. You are responsible for keeping your login credentials confidential and for all activity under your account.

4. Subscription Services

Proximity Hero operates on a subscription basis. Pricing and feature tiers are displayed on our website and may change with prior notice. Subscriptions renew automatically unless cancelled before the billing cycle ends.

5. Privacy and Data Use

Your use of our Services is also governed by our Privacy Policy. We collect limited user and customer data strictly to provide our services, such as account information, engagement metrics, and (when opted-in) location data.

6. Acceptable Use

You agree to use Proximity Hero only for lawful business purposes. You may not:

Violate laws or regulations
Send unauthorized or misleading communications
Attempt to reverse-engineer, tamper with, or misuse the platform
Use the platform in a way that harms others or the system

7. Location Services

Proximity Hero’s push notification system uses geolocation technology to enable location-based alerts. By using these features, you consent to the collection and use of geolocation data for your business and its customers, as described in our Privacy Policy. End customers must opt in to share their location.

8. Intellectual Property

All content, software, designs, logos, and branding associated with Proximity Hero are the intellectual property of Proximity Hero, LLC. You may not copy, reproduce, or distribute our content without permission.

9. Limitation of Liability

To the fullest extent permitted by law, Proximity Hero shall not be liable for any indirect, incidental, or consequential damages resulting from use or inability to use our Services. Total liability is limited to the amount paid for services in the six months prior to the claim.

10. Termination

We may suspend or terminate your account at any time for violations of these Terms. You may cancel your subscription through your account dashboard or by contacting support.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or within the app. Continued use of the platform after such updates constitutes acceptance of the revised terms.

12. Governing Law & Arbitration

These Terms are governed by the laws of the State of Delaware.
Binding Arbitration: Any dispute arising from or relating to these Terms will be resolved by binding arbitration in New Castle County, Delaware, under the rules of the American Arbitration Association. Both parties waive the right to a jury trial or class action.
